1. ACCEPTANCE OF TERMS

Welcome to CalmCorner, a social media platform operated by Nexapex Technologies Ltd ("Company," "we," "our," or "us").

By accessing or using CalmCorner (the "App"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you may not access or use the App.

These Terms constitute a legally binding agreement between you and Nexapex Technologies Ltd. Please read them carefully.

2. ELIGIBILITY

By using CalmCorner, you represent and warrant that:

• You are at least 18 years of age and above
• You have the full power and authority to enter into these Terms
• You are not located in a country subject to trade sanctions or embargoes
• You have not been previously banned or suspended from CalmCorner
• Your use of the App complies with all applicable local, state, national, and international laws

We do not knowingly collect or solicit personal information from individuals under the age of 18. If we become aware that a minor has created an account, we will take steps to remove such information and terminate the account.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

To use CalmCorner, you must create an account by providing:

• Name
• Username
• Email Address
• Password
• Gender
• Date of Birth
• Country

You agree to provide accurate, current, and complete information and to update it promptly if changes occur.

3.2 Account Responsibility

You are solely responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

We are not liable for any loss or damage arising from your failure to protect your account.

3.3 Account Deletion

You may delete your account at any time directly within the App through your account settings. Upon deletion:

• Your profile and content will no longer be visible to other users
• Your personal information will be processed according to our Privacy Policy

3.4 Account Suspension or Termination

WE RESERVE THE RIGHT TO SUSPEND OR TERMINATE YOUR ACCOUNT IF YOU VIOLATE THESE TERMS OR IF YOUR CONDUCT POSES A RISK TO THE COMMUNITY OR OUR SERVICES.

WHERE REASONABLY POSSIBLE, WE WILL PROVIDE NOTICE OR AN EXPLANATION FOR SUCH ACTION. HOWEVER, WE MAY TAKE IMMEDIATE ACTION WITHOUT NOTICE IF NECESSARY TO PROTECT USERS, COMPLY WITH LEGAL OBLIGATIONS, OR PREVENT HARM.

4. USER CONDUCT AND CONTENT STANDARDS

4.1 Safe Space Commitment

CalmCorner is designed to be a safe, calm, and supportive community. You agree to treat other users with respect and kindness at all times.

4.2 Prohibited Content and Behavior

You may NOT post, share, or engage in any content or behavior that:

Harassment & Bullying

• Harassment, intimidation, bullying, stalking, or threatening other users

Hate Speech

• Content that promotes hatred, violence, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic

Violence & Harm

• Threats of violence, glorification of self-harm, promotion of eating disorders, or content depicting graphic violence

Sexual Content

• Nudity, pornography, sexually explicit content, or sexual harassment

Misinformation

• Deliberate spread of false information that could cause harm

Impersonation

• Pretending to be another person, organization, or entity

Spam

• Unsolicited promotional content, repetitive messages, or artificial engagement

Illegal Activities

• Content promoting or facilitating illegal activities

Privacy Violations

• Sharing others' personal information without consent

Intellectual Property

• Posting content you do not own or have rights to

4.3 Mental Health and Crisis Content

While CalmCorner supports open discussion of mental health experiences, the following is strictly prohibited:

• Content that encourages self-harm or suicide
• Detailed descriptions of suicide methods
• Content that mocks or trivializes mental health struggles
• Providing medical advice or treatment recommendations

4.4 Content Moderation

We actively monitor content to maintain a safe environment. We reserve the right to:

• Review any content before or after posting
• Remove any content that violates these Terms
• Restrict access to certain features or content
• Report violations to appropriate authorities when necessary

We may take these actions in accordance with these Terms. Where appropriate, we may notify you of enforcement actions and provide an opportunity to request a review.

4.5 Appeals

If you believe your content was removed or your account was restricted in error, you may contact us at calmcornerapps@gmail.com to request a review. We will assess such requests in good faith but are not obligated to reverse our decisions.

4.6 Reporting Violations

Users can report content or behavior that violates these Terms using in-app reporting tools or by contacting calmcornerapps@gmail.com. We review reports and take appropriate action based on our policies.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Your Content

You retain all ownership rights to content you post on CalmCorner. However, by posting content, you grant us a non-exclusive, worldwide and transferable license to:

• Host, store, and display your content on CalmCorner
• Modify or adapt your content solely for technical purposes
• Allow other users to interact with your content according to App functionality

This license continues for as long as your content is on CalmCorner and for a reasonable period after removal to allow for backup and archival purposes.

5.2 Our Content

All CalmCorner content not provided by users (including trademarks, logos, software, designs, and text) is owned by Nexapex Technologies Ltd or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

5.3 Marketing Restriction

WE DO NOT USE YOUR CONTENT FOR MARKETING PURPOSES. We will not feature your posts, images, or profile in our advertisements, social media, or promotional materials without obtaining your explicit, case-by-case consent. If we wish to feature your content, we will contact you directly to request permission for the specific use.

5.4 Copyright Infringement

If you believe content on CalmCorner infringes your copyright, please contact our Designated Copyright Agent at:

• Identification of the copyrighted work
• Identification of the infringing material
• Your contact information
• A statement of good faith belief that use is not authorized
• A statement of accuracy under penalty of perjury
• Your physical or electronic signature

6. ADVERTISING

CalmCorner displays advertisements provided by Google AdMob. By using the App, you acknowledge that:

• We may display ads in various locations within the App
• Advertisers may collect data as described in our Privacy Policy
• We do not endorse or guarantee any products or services advertised
• Your interactions with ads are between you and the advertiser

We are not responsible for the content, accuracy, or practices of any advertisers. Please review Google AdMob's policies for more information about ad targeting and data collection.

7. THIRD-PARTY LINKS AND SERVICES

The App may contain links to third-party websites or services not owned or controlled by Nexapex Technologies Ltd. We have no control over, and assume no responsibility for:

• The content, privacy policies, or practices of any third party
• Any damage or loss caused by or in connection with third-party content or services

Your interactions with third parties are solely between you and the third party. We encourage you to review their terms and policies before engaging.

8. DISCLAIMERS

8.1 "AS IS" AND "AS AVAILABLE"

YOUR USE OF THE APP IS AT YOUR SOLE RISK. THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXAPEX TECHNOLOGIES LTD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR VIRUS-FREE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY CONTENT

8.3 User-Generated Content Disclaimer

We do not endorse, support, represent, or guarantee the truthfulness, accuracy, or reliability of any content posted by users. You acknowledge that user-generated content is not verified by us and should not be relied upon as professional, medical, or legal advice.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

9.1 No Liability for Certain Damages

IN NO EVENT SHALL NEXAPEX TECHNOLOGIES LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• PERSONAL INJURY OR EMOTIONAL DISTRESS
• DAMAGES RELATED TO YOUR USE OF OR INABILITY TO USE THE APP
• DAMAGES ARISING FROM USER INTERACTIONS OR CONDUCT
• DAMAGES ARISING FROM THIRD-PARTY CONTENT OR SERVICES

9.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXAPEX TECHNOLOGIES LTD'S TOTAL LIABILITY TO YOU, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF:

• The amount you have paid us (if any) in the 12 months preceding the claim, or
• One hundred dollars ($100 USD)

This limitation applies regardless of the form of action, the type of claim, or the source of liability, and even if any limited remedy specified in these Terms fails of its essential purpose.

9.3 Applicability

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. If these laws apply, some of the above exclusions or limitations may not apply to you, and you may have additional rights.

9.4 Basis of the Bargain

The limitations of liability in this section are fundamental parts of the basis of our agreement and reflect a fair allocation of risk. They will survive and apply even if any limited remedy specified in these Terms fails of its essential purpose.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Nexapex Technologies Ltd, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the App
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your content or interactions with other users
• Any harm caused to others through your use of the App

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of laws principles.

11.2 Informal Resolution

Before filing any claim, you agree to attempt to resolve any dispute informally by contacting us at calmcornerapps@gmail.com. We will attempt to resolve the dispute internally. If we cannot resolve the dispute within 60 days, either party may proceed as set forth in this section.

11.3 Binding Arbitration

Any dispute arising out of or relating to these Terms or your use of the App shall be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria. The arbitration shall be conducted in Lagos, Nigeria, unless otherwise agreed by both parties.

CLASS ACTION WAIVER: YOU AND NEXAPEX TECHNOLOGIES LTD AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

11.4 Exception for Small Claims

Either party may bring qualifying claims in small claims court.

11.5 Injunctive Relief

Nothing in these Terms shall prevent us from seeking injunctive or other equitable relief from the courts for matters relating to intellectual property, unauthorized access, or violations that could cause irreparable harm.

12. TERMINATION

12.1 Termination by You

You may terminate these Terms at any time by deleting your account and discontinuing use of the App.

12.2 Termination by Us

We may suspend or terminate your access to the App if you violate these Terms, engage in harmful conduct, or where required for legal or safety reasons. Where appropriate, we may provide notice. Grounds for termination include but are not limited to:

• Violation of these Terms
• Conduct that we determine, in our sole discretion, is harmful to the community or our business interests
• Extended periods of inactivity
• Requests by law enforcement or government agencies

12.3 Effect of Termination

Upon termination:

• Your right to access the App immediately ceases
• We may delete your content and account information
• Sections of these Terms that by their nature should survive termination shall survive (including intellectual property, indemnification, limitation of liability, and dispute resolution)

13. MODIFICATIONS TO THE APP AND TERMS

13.1 Changes to the App

We reserve the right to modify, suspend, or discontinue any part of the App at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

13.2 Changes to These Terms

We may modify these Terms at any time. When we make material changes:

• We will update the "Last Updated" date
• We may notify you through the App or via email
• Your continued use of the App after the changes become effective constitutes your acceptance of the new Terms

If you do not agree to the modified Terms, you must stop using the App and delete your account.

13.3 Future Paid Features

We may introduce paid features or subscriptions in the future. Any such features will be subject to additional terms, which will be presented to you before purchase.

14. ELECTRONIC COMMUNICATIONS

By using CalmCorner, you consent to receive electronic communications from us (e.g., via email, in-app notifications). You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy (available within the App) and any additional terms incorporated by reference, constitute the entire agreement between you and Nexapex Technologies Ltd regarding your use of the App.

15.2 Waiver and Severability

• Waiver: If we don't enforce a part of these Terms right away, it doesn't mean we give up our right to enforce it later.
• Severability: If any part of these Terms is found to be invalid or unenforceable, the rest of the Terms still apply and remain in effect.

15.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms freely without restriction.

15.4 No Third-Party Beneficiaries

These Terms are for the benefit of you and Nexapex Technologies Ltd and are not intended to confer any rights upon any third party except as expressly provided.

15.5 Force Majeure

We are not responsible for any delays or failures to provide the App or its services caused by events beyond our reasonable control. This includes, but is not limited to:

• Natural disasters (e.g., floods, fires, earthquakes)
• War, terrorism, riots, or civil disturbances
• Government actions or regulations
• Strikes, labor shortages, or problems with transportation, fuel, or energy
• Accidents or other events outside our control
